TERMS OF SERVICE
Effective as of October 1, 2023
These terms of service (the "Subscription Terms of Service") govern the use of the Telegram bot @wowmalikabot (the "Bot") and private Telegram channel Позитивное усложнение жизни (the "Channel"). WOWREELS PTY LTD (the "Company") owns and operates this Bot and Channel.
The Company allows you to access content at the Channel in exchange for a recurring fee, as applicable (the "Subscription"). Your transactions and any other use of the Bot and Channel are subject to the Subscription Terms of Service. Using the Bot and the Channel, you agree to the Subscription Terms of Service and all other terms and conditions that generally apply to the Company website (all of these are the "Terms"). Please read the Terms carefully. You can only use the Subscription if you understand and accept all of them.

The Company allows you to access content at the Channel in exchange for a recurring fee, as applicable (the "Subscription"). Your transactions and any other use of the Bot and Channel are subject to the Subscription Terms of Service. Using the Bot and the Channel, you agree to the Subscription Terms of Service and all other terms and conditions that generally apply to the Company website (all of these are the "Terms"). Please read the Terms carefully. You can only use the Subscription if you understand and accept all of them.
Fees
Subscription fees are recurring payments with monthly terms. Your Subscription begins upon payment of the first instalment of the Subscription fees. The Subscription renews monthly, and fees are charged on the same day of the month the Subscription began.
Payment
The Company accepts payment via the current payment methods indicated at the time of purchase, which may include credit card, PayPal, and any other form of payment that we make available to you occasionally. You agree to abide by any relevant Terms of Service or other legal agreement, whether with Stripe, PayPal or another third party, that governs your use of a given payment processing method. The price for the Subscription may change at any time, and the Company does not provide price protection or refunds in the event of price changes. The Company will charge your credit card or other form of payment for the relevant Subscription price, along with any additional amounts relating to applicable taxes, bank fees and currency fluctuations. By purchasing an automatically renewing Subscription, you agree that the Company will charge the payment method on file on the first day of each Subscription billing period. If the payment method on file becomes invalid due to an expired credit card or other similar reason, the Company reserves the right to cancel your Subscription immediately.
Taxes
If the Company is required to collect or pay any taxes in connection with your purchase of Subscription, such taxes will be charged to you at the time of each purchase transaction or other appropriate time as applicable. Additionally, if required by law, you are responsible for reporting and paying certain taxes concerning your purchase and use of Subscription. Such taxes may include duties, customs fees, or other taxes (other than income tax), along with any related penalties or interest applicable to your purchase or country of purchase.
Cancellations and Refunds
You can cancel your Subscription at any time, and the cancellation will take effect on the next billing period, except as otherwise communicated to you by the Company. You will retain access to the Subscription from the time you cancel until the start of the next billing period, and you will not receive a refund or credit for any remaining days in your current billing period. Subscription fees paid are final and nonrefundable unless otherwise determined by the Company. Suppose the Company reasonably determines that a user has violated the Subscription Terms of Service. In that case, the Company may immediately terminate the Subscription and the user's access to the Bot and the Channel without notice and refund.
License
Your use of the Subscription must be only for personal, non-commercial use. You agree not to use the Subscription, in whole or in part, in connection with any public presentation, even if no fee is charged (except where such use would not constitute a copyright infringement). You are receiving a non-exclusive license to access the content on the Channel. All rights, titles, and interests in the Channel (including any content offered through the Channel) are not expressly granted to you in these Terms and are reserved by the Company. Suppose the Company reasonably determines that you violated any part of the Subscription Terms of Service. In that case, your rights under this Section will immediately terminate, and the Company may terminate your Subscription without notice and refund to you.
Restrictions
When you use the Subscription, you may not (or attempt to):
- use any part of the Channel in an illegal manner or for an unlawful purpose;
- share your Telegram invite link to the Channel with someone else to allow them to access any part of the Channel that such person did not order;
- copy, sell, rent, or sublicense the content of the Channel to any third party;
- circumvent, reverse-engineer, modify, disable, or otherwise tamper with any security technology that the Company or any third party uses to protect the Subscription or encourage or help anyone else to do so;
- access the Channel other than by means authorized by the Company.
Changes or Discontinuation of Subscription
The Company reserves the right to change the availability of the Subscription. In addition, we reserve the right to modify, suspend, or discontinue the Subscription with or without notice to you, and we will not be liable to you or any third party for any such modifications, suspension, or termination.
Removal or Unavailability of Content
Sometimes, content on the Channel may become unavailable due to our policy or legal reasons. The Company will have no liability to you for any such unavailability.
Changes to the Subscription Terms of Service
We may change these Subscription Terms of Service from time to time, so we encourage you to review the most up-to-date version at the Bot periodically. If you refuse to accept the updated Subscription Terms of Service, then the Company reserves the right to discontinue your use of the Subscription.
Communications
By using the Subscription, you consent to receive communications from us throughout the Bot. These include marketing communications such as updates about the Bot features and the Channel content, special offers, promotional announcements, and customer surveys. If you no longer want to receive such communications, simply Mute or Delete the Bot from your Telegram account.
Other Terms
You acknowledge and agree that certain content in the Channel may be considered offensive to some people and that such content may not be labelled as such. Additionally, certain descriptions of the Bot or content available in the Channel are not guaranteed to be accurate. You agree to use the Subscription at your own risk, and subject to applicable laws, the Company will have no liability to you for any content that you find offensive.

You agree that you are solely responsible for (and that the Company has no responsibility to you for) your use of the Subscription, any breach of your obligations under the Subscription Terms of Service, and for the consequences (including loss or damage of any kind which the Company may suffer) of any such breach.
You acknowledge and agree that you are responsible for paying all fees in a timely manner and for providing us with a valid credit card or other form of payment acceptable to the Company.
You acknowledge that your online acceptance of these or any other terms constitutes a binding agreement between you and the Company and signify your intent to be bound to such online acceptances. Subject to applicable laws, in no event, will the Company's liability for any causes of action brought by you or any agent of yours arising from or related to the services exceed the payments actually received and retained by the Company from you for the Subscription.
Unless not permitted by applicable law, you acknowledge and agree that the Subscription Terms of Service, your transaction for the Subscription, and your relationship with the Company under the Subscription Terms of Service shall be governed by the laws of the State of New South Wales, without respect to its conflict of laws principles. Any claim or dispute arising from your use of the Subscription will be decided exclusively by a court of competent jurisdiction in Sydney, NSW, Australia.
